CredVesting-Digest Terms of Service Last Updated: May 3, 2025 Welcome to CredVesting-Digest (the "Platform"), a community and resource for accredited investors. By accessing or using the Platform, including any content, features, or services offered (collectively, the "Services"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Platform. 1. Acceptance of Terms These Terms constitute a legally binding agreement between you and CredVesting-Digest ("we," "us," or "our"). By accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. User Eligibility and Accreditation The Platform is intended solely for "accredited investors" as defined by applicable securities laws. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. • You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized access to or use of your account. • You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations. 4. The content on the Platform, including user-generated content, articles, discussions, and any other materials (collectively, "Content"), is for informational and educational purposes only and should not be considered financial, investment, legal, tax, or other professional advice. • You understand that opinions and information shared by other users on the Platform are their own and do not necessarily reflect our views. We do not endorse or guarantee the accuracy, completeness, or reliability of any Content provided by users or third parties. • You agree to use the Platform and its Content in a manner that is lawful, respectful, and in accordance with these Terms. You shall not: o Post, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. o Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. o Engage in any conduct that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform. o Attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform. o Use the Platform to solicit funds, securities, or other investments without our explicit prior written consent. o Post or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. o Infringe upon the intellectual property rights of others or us. o Collect or store personal information of other users without their express consent. o Engage in any activity that violates any applicable law or regulation. 5. Intellectual Property • The Platform and its original content, features, and functionality (excluding User-Generated Content) are and will remain the exclusive property of CredVesting-Digest and its licensors and are protected by copyright, trademark, and other laws. • By posting or submitting Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, modify, adapt, publicly perform, publicly display, and otherwise exploit such Content in connection with the Platform and our business, including for promotional and marketing purposes. You represent and warrant that you have all necessary rights to grant this license. 6. Third-Party Content and Links The Platform may contain links to third-party websites or resources, and third parties may post content on the Platform. We are not responsible for the content, products, or services offered by such third parties. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, products, or services. 7. Disclaimer of Warranties THE PLATFORM AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY RELIANCE ON THE CONTENT OF THE PLATFORM IS AT YOUR OWN RISK. WE DO NOT PROVIDE INVESTMENT ADVICE AND MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE SUITABILITY, PROFITABILITY, OR POTENTIAL OUTCOMES OF ANY INVESTMENT OPPORTUNITIES DISCUSSED ON THE PLATFORM. YOU ARE SOLELY RESPONSIBLE FOR CONDUCTING YOUR OWN DUE DILIGENCE AND MAKING YOUR OWN INVESTMENT DECISIONS. 8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CREDVESTING-DIGEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO US FOR THE USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 9. Indemnification You agree to defend, indemnify, and hold harmless CredVesting-Digest, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party. 10. Termination We may terminate or suspend your access to all or any part of the Platform at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 11. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the federal or state courts located in Monroe County, New York, and you irrevocably submit to the jurisdiction of such courts. 12. Changes to These Terms We reserve the right to modify or revise these Terms at any time in our sole discretion. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform following the posting of any changes constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically for updates. 13. Entire Agreement These Terms constitute the entire agreement between you and CredVesting-Digest regarding your use of the Platform and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether oral or written. 14.
